Corporate Trading Terms

These Terms and Conditions govern all Requests for Quotation (RFQs), Purchase Orders (POs), and manufacturing contracts executed by Annectotech LLP. By engaging our services, you agree to these standard operational and commercial frameworks.

General Agreement

Welcome to Annectotech LLP. The following terms constitute a legally binding corporate agreement between Annectotech LLP (the "Manufacturer/Supplier") and the purchasing entity (the "Buyer/OEM"). These terms supersede any prior verbal agreements and form the baseline of all B2B trade unless explicitly overridden by a signed Master Service Agreement (MSA).

B2B Exclusive

Services strictly limited to corporate entities, OEMs, and government bodies.

Precision Standard

Manufacturing adheres strictly to mutually agreed tolerances.

Jurisdiction

All contracts are legally bound by the jurisdiction of Faridabad, Haryana.

1. Orders & Manufacturing Policies

Clear protocols ensure that your components are machined exactly to your specifications without logistical delays.

Quotations & Purchase Orders

The formal initiation of a manufacturing contract.

  • Validity: All formal quotes provided by Annectotech LLP are valid for 15 days due to volatile raw material (metal) market fluctuations.
  • PO Acceptance: A contract is only formalized once we issue a written Order Acknowledgement against your official Purchase Order.
  • Cancellations: Custom machining orders cannot be canceled once raw materials have been procured or machining has commenced.

Technical Specifications

Ensuring micrometric precision requires absolute clarity.

  • Client Responsibility: Buyers are solely responsible for the accuracy of submitted CAD files, 2D drawings, and material grade specifications.
  • Tolerances: Production will strictly adhere to the dimensional tolerances specified on the final approved drawing. Standard ISO 2768 tolerances apply if none are specified.
  • Prototyping: Bulk production will only commence upon the Buyer's written approval of the initial prototype sample (if requested).

Tooling & Fixtures Ownership

Governing the custom setups built for your specific components.

  • NRE Charges: Any Non-Recurring Engineering (NRE) charges paid by the buyer cover the engineering labor, not the physical tooling itself.
  • Physical Retention: Custom jigs, fixtures, and cam setups developed for production remain the physical and intellectual property of Annectotech LLP and remain at our facility.

Material Certifications (MTC)

Ensuring raw material traceability and chemical compliance.

  • Traceability: Material Test Certificates (MTCs) for chemical and physical properties are provided upon request if specified at the time of the Purchase Order.
  • Third-Party Labs: If a buyer requires advanced ultrasonic, radiographic, or third-party NABL-accredited lab testing, these costs will be billed directly to the buyer.

Surface Finishes & Plating

Managing secondary industrial processes.

  • Subcontracting: While precision machining is executed in-house, secondary surface treatments (e.g., anodizing, zinc plating, hardening) may be subcontracted to certified third-party vendors.
  • Quality Guarantee: Annectotech LLP remains fully responsible for the final quality and dimensional accuracy of the components post-treatment.

Packaging & Freight Risk

Protecting metal components from transit damage and rust.

  • Standard Packing: Prices include standard industrial packaging (rust-preventive oil and corrugated boxes). Custom requests like VCI bags or export wooden crates will incur additional charges.
  • Transit Risk: All goods are dispatched Ex-Works. The risk of loss, rust due to delayed transport, or physical damage transfers to the buyer the moment goods are handed to the freight carrier.

2. Financial & Payment Terms

As an officially registered MSME, we operate under strict financial frameworks to ensure mutual operational stability.

Pricing, Logistics & Taxes

Transparent billing with zero hidden costs.

  • Ex-Works Pricing: Unless stated otherwise, all prices are Ex-Works (Faridabad facility). Logistics, transit insurance, and freight are the Buyer's responsibility.
  • Taxation: Prices quoted are exclusive of Goods and Services Tax (GST). Applicable GST and statutory duties will be added to the final invoice.

MSME Payment Mandates

Statutory protection under the MSME Development Act.

  • Standard Terms: Payments must be executed within the time frame specified on the invoice (typically 30 days from dispatch).
  • Delayed Payments: As an Udyam-registered enterprise, delayed payments beyond 45 days attract statutory compound interest as mandated by the MSME Samadhaan framework.

3. Legal & Corporate Policies

Intellectual Property & NDAs

Annectotech LLP acknowledges that your technical drawings, CAD files, and proprietary product designs are highly confidential. We agree not to replicate, sell, or distribute your Intellectual Property (IP) to any third party. For highly sensitive projects, we are fully willing to sign dedicated Non-Disclosure Agreements (NDAs) prior to quoting. Conversely, any proprietary manufacturing methodologies, custom toolings, or machining setups developed internally by Annectotech LLP remain our exclusive property.

Patent & IP Indemnification

Since we manufacture custom components based entirely on drawings supplied by the Buyer, the Buyer represents and warrants that their designs do not infringe upon any third-party patents, copyrights, or trade secrets. The Buyer agrees to unconditionally indemnify, defend, and hold Annectotech LLP harmless from any claims, legal fees, or damages arising from intellectual property infringement related to the Buyer's designs.

Defects, Rejections & Returns

Upon delivery, the Buyer must inspect the components within 7 to 14 days (as agreed per contract). Any claims regarding dimensional inaccuracies, material defects, or short shipments must be made in writing within this period. If the components deviate from the approved drawings, Annectotech LLP’s sole liability is limited to either replacing the defective parts or issuing a credit note. We are not liable for parts that have been altered, further machined, or improperly used by the Buyer post-delivery.

Limitation of Liability

In no event shall Annectotech LLP be held liable for any indirect, incidental, special, or consequential damages. This includes, but is not limited to, loss of profits, assembly line downtime, loss of business revenue, or recall costs arising from the use or failure of the supplied components. Our total aggregate liability under any contract or Purchase Order is strictly limited to the monetary value of the specific defective components supplied.

Force Majeure

Annectotech LLP shall not be held liable for any failure or delay in fulfilling production schedules or dispatching orders due to circumstances beyond our reasonable control. This includes, but is not limited to, natural disasters, severe raw material market shortages, government lockdowns, grid power failures, or extreme logistical disruptions. In such events, delivery timelines will be reasonably extended.

Non-Solicitation of Personnel

Annectotech LLP invests heavily in training specialized Traub setup technicians and machining operators. During the term of our business relationship, and for a period of 12 months following the completion of the final Purchase Order, the Buyer agrees not to directly or indirectly recruit, solicit, or hire any technical staff currently employed by Annectotech LLP.

Governing Law & Jurisdiction

These Terms and Conditions, and any B2B contracts formed under them, shall be governed by and construed in accordance with the laws of India. Any disputes, claims, or legal proceedings arising out of or in connection with our manufacturing services shall be subject to the exclusive jurisdiction of the competent courts located in Faridabad, Haryana, India.
